By accessing or using BidEdgeHQ ("Service"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not accept these Terms, do not use the Service.
BidEdgeHQ is a software-as-a-service platform that aggregates, indexes, and scores government contract and tender opportunities from public procurement portals across the United States and Canada. Features include AI-powered Ideal Customer Profile (ICP) scoring, real-time alerts via email, SMS, and WhatsApp, AI-assisted proposal drafting, and a saved tender pipeline. Tender data is sourced from publicly available government procurement systems and may not be exhaustive or error-free.
You must be at least 18 years of age to use the Service. By using BidEdgeHQ, you represent and warrant that you meet this requirement and that all information you provide is accurate, complete, and current. The Service is intended for business use by government contractors, consultants, and procurement professionals.
You are responsible for: (a) providing accurate registration information; (b) maintaining the confidentiality of your login credentials; (c) all activity that occurs under your account; and (d) promptly notifying us at support@bidedgehq.com of any suspected unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.
BidEdgeHQ offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. All fees are exclusive of applicable taxes. You authorise us to charge your payment method on a recurring basis. Subscriptions automatically renew unless you cancel before the renewal date. Price changes will be communicated with at least 30 days notice. Failure to pay may result in suspension or termination of your account.
New subscribers may request a full refund within 14 days of their first paid subscription charge. After this period, all charges are non-refundable. If you cancel mid-cycle, you retain access until the end of the current billing period and will not receive a pro-rated refund. Enterprise and annual plan refund terms are governed by the applicable order form or enterprise agreement.
You agree not to: (a) scrape, harvest, or bulk-download tender data for redistribution or resale; (b) use the Service for any unlawful purpose or in violation of any applicable law; (c) attempt to gain unauthorised access to our systems, accounts, or data; (d) reverse-engineer, decompile, or disassemble any part of the Service; (e) use the Service to transmit malware, spam, or harmful content; (f) create derivative works or competing products using our data or AI outputs; (g) share account credentials with individuals outside your authorised team; or (h) misrepresent your identity or affiliation. Violation of this section may result in immediate account termination without refund.
All content, software, trademarks, and intellectual property on the Service are owned by BidEdgeHQ or its licensors. Government tender data sourced from public portals remains in the public domain. AI-generated proposal content produced using the Service is owned by you, subject to your compliance with these Terms. You grant BidEdgeHQ a non-exclusive, royalty-free licence to process and use your ICP profile data solely for the purpose of providing the Service.
Tender data is sourced from government procurement portals and aggregated automatically. While we make reasonable efforts to ensure accuracy and timeliness, we do not guarantee that all opportunities are complete, current, or error-free. You are solely responsible for independently verifying tender details before submitting any bid or proposal. BidEdgeHQ is a discovery and intelligence tool, not a guaranteed source of record.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDEDGEHQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BIDEDGEHQ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless BidEdgeHQ and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit or transmit through the Service.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms. You may terminate your account at any time by cancelling your subscription and deleting your account via the Settings page. Upon termination, your right to use the Service ceases immediately. Sections 8, 10, 11, 12, and 14 survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.
We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and BidEdgeHQ with respect to the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
